Terms of Service

These Terms govern your use of picnic ("the Service"), a calendar orchestration and meeting-intelligence service operated by Smartify Consulting (Pty) Ltd ("we", "us"), a company registered in South Africa.
1. Acceptance
By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
picnic lets you connect multiple Google and Microsoft calendar and email accounts, synchronise availability between them, accept bookings via a public scheduling page, and use AI-assisted features such as daily digests and meeting prep.
3. Your account
You are responsible for keeping your credentials secure and for activity that happens under your account. You must be 16 or older to use the Service. You must provide accurate information and notify us promptly of any unauthorised use.
4. Acceptable use
You may not: (a) use the Service to send spam or unsolicited messages; (b) attempt to gain unauthorised access to the Service or other users' data; (c) reverse engineer, resell, or sublicense the Service without our written permission; (d) use the Service in violation of any applicable law or third-party rights.
5. Subscription & billing
- Plans. The Service is offered on free and paid plans. Free plans have feature and usage limits; paid plans unlock additional capacity and features as described on the pricing page.
- Renewals. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current rate, until you cancel.
- Cancellation. You may cancel at any time from Settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
- Refunds. Fees are non-refundable except where required by law. We may issue discretionary refunds.
- Price changes. We may change prices with at least 14 days' notice by email or in-app. Changes apply to the next renewal.
- Taxes. Prices exclude VAT and other applicable taxes unless stated otherwise.
6. Third-party services
The Service integrates with Google and Microsoft. Your use of those providers is governed by their respective terms. We are not responsible for outages, errors, or changes to their APIs.
7. Data & privacy
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
8. Termination
You may stop using the Service at any time by deleting your account in Settings. We may suspend or terminate your account if you breach these Terms or use the Service in a way that harms us or other users.
9. Warranty disclaimer & limitation of liability
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.
To the maximum extent permitted by law: (a) in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service; and (b) our aggregate liability for any claim arising from or related to these Terms or the Service is limited to the greater of the fees you paid us in the twelve (12) months preceding the claim, or ZAR 1,000.
10. Indemnity
You agree to indemnify and hold us harmless from any claim arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
11. Governing law
These Terms are governed by the laws of the Republic of South Africa. Any dispute will be subject to the exclusive jurisdiction of the courts of South Africa.
12. Changes
We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
